What these terms cover
These Terms of Service ("Terms") are an agreement between you and Medicus ("Medicus", "we", "us"). They govern your use of the Medicus desktop software for Windows and macOS (the "Software"), the Medicus account and licensing service that the Software connects to (the "Service"), and the website at medicusarc.com (the "Site").
By installing or using the Software, signing in to the Service, or using the Site, you agree to these Terms. If you use Medicus on behalf of a hospital, physician group or other organisation, you confirm that you are authorised to accept these Terms for that organisation, and "you" includes the organisation. If you do not agree, do not install or use Medicus.
Medicus is offered to licensed clinicians and the organisations that employ or contract them, in the United States. It is not offered to consumers or to patients.
A drafting tool, not medical advice
Medicus produces draft documentation. It does not diagnose, treat, or recommend care, and it does not replace clinical judgment. Every draft must be reviewed, edited as needed, and attested by the treating physician or other authorised clinician before it enters a medical record. You are solely responsible for the accuracy and completeness of any record you sign, for every clinical decision, and for complying with your professional obligations and your organisation's documentation policies.
Drafts can be wrong, incomplete, or inconsistent with the notes you provided. Treat them as a starting point written by an assistant who has not seen the patient.
Accounts and roles
Some installations of Medicus require a sign-in. Accounts are issued to named individuals and carry one of three roles: physician, administrator, or owner. Administrators manage documentation rules and licences for their organisation; owners can also manage administrators. You must provide accurate information, keep your credentials confidential, and not share an account with anyone else. You are responsible for all activity under your account.
Installs that use a sign-in lock after a period of inactivity and require the user to sign in again. Do not disable, bypass, or share workarounds for this lock. Tell us promptly at support@medicusarc.com if you believe an account has been compromised.
Your licence to the software
Subject to these Terms, Medicus grants you a limited, non-exclusive, non-transferable, revocable licence to install and use the Software on the computers covered by your licence, for your own clinical documentation. Each licence is tied to an install and can be paused or revoked by your organisation's administrator or by us; a revoked install stops at its next launch.
You may not: copy, modify, or create derivative works of the Software; reverse engineer, decompile, or attempt to extract its source code except where the law expressly permits; remove or alter any signing, licence check, or update verification; rent, lease, sublicense, or resell the Software; or use it to build a competing product. The Software, the Service, the Site, and everything in them other than your own content are owned by Medicus and protected by copyright and other laws. No rights are granted except those stated here.
Your charts and your data
Charts, drafts, and the notes you paste into Medicus are stored on the computer running the Software. They are not uploaded to our servers. When the Software drafts a section, the text being drafted passes through our relay to the drafting service and the draft comes back the same way; the relay stores no chart content. You are responsible for backing up the charts on your machines and for the physical and account security of those machines.
The Service stores the information needed to run accounts: logins, roles, your organisation's documentation rules and their revisions, licence state, and an audit log of sign-ins and administrative actions. It does not store chart content.
You own your content, including your charts and your documentation rules. You grant Medicus only the limited right to process that content as needed to provide the Software and the Service to you, as described in our Privacy Policy. We do not use your content to train anything, sell it, or share it except as that policy describes.
Patient information
You and your organisation are responsible for deciding what patient information may be entered into Medicus and under what conditions. The Software includes a Privacy switch which, when on, replaces names, medical record numbers, dates, phone numbers and addresses with tokens on your machine before any drafting request is sent, and shows you the exact text before it goes. The switch is a control you operate; it does not by itself make any text de-identified under any law, and it does not relieve you of your obligations under HIPAA, state law, or your organisation's policies.
Where your organisation requires a Business Associate Agreement, that is a separate written agreement. These Terms do not create one. Our current position on Business Associate Agreements is available on request through the trust center.
Do not send patient information to our support channels. If you need to show us a chart, remove the patient's identifying details first.
Acceptable use
You agree not to:
- use Medicus in violation of any law, professional rule, or your organisation's policies;
- use it for any purpose other than clinical documentation by licensed clinicians;
- share accounts, licences, or credentials, or allow unauthorised people to use your install;
- probe, scan, or test the vulnerability of the Service or the Site without our written permission, or interfere with their operation;
- upload malicious code, or attempt to access accounts, data, or systems that are not yours;
- use automated tools to scrape or harvest the Site or the Service;
- misrepresent who you are or your authority to act for an organisation.
If you find a security problem, we would rather hear about it from you. Report it to support@medicusarc.com and we will reply in person.
Service providers
We use a small number of service providers to run Medicus: cloud infrastructure for our servers, a drafting service that produces the drafts, and a certificate authority for our website certificates. All of them operate in the United States. The complete list, what each one receives, and where it is located are published on the trust center. Those providers receive only what is described there.
Fees and pilots
Fees for Medicus are set out in your quote or order. Unless your order says otherwise, fees are invoiced in advance, are payable within thirty days, and are non-refundable. We may suspend licences for accounts with overdue fees after giving notice. Pilots may be offered at no charge for a stated period; when the period ends, continued use requires a paid licence. Prices may change at the start of a renewal term with at least thirty days' notice.
Updates and availability
The Software checks for updates and installs them automatically. Every release is signed, and the Software refuses any package it cannot verify. We may add, change, or remove features over time. We work to keep the Service available but do not guarantee uninterrupted operation; maintenance, outages at our providers, and events outside our control can interrupt it. Because charts live on your machine, an interruption of the Service does not take your existing charts away.
Suspension and termination
You may stop using Medicus at any time. Your organisation's administrator may pause or revoke any of its licences. We may suspend or terminate your access if you breach these Terms, if we reasonably believe your use creates a security or legal risk, or if fees remain unpaid after notice. Where practical we will tell you first.
When a licence ends, the Software stops at its next launch. Your charts remain on your computer under your control. We delete the account data we hold as described in the Privacy Policy. Sections 2, 5, 6, 12, 13, 14, 16 and 18 survive termination.
Disclaimers
Medicus is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that drafts will be accurate, complete, or suitable for any particular patient or record, or that the Software or the Service will be error-free or uninterrupted. You rely on any draft at your own professional risk.
Limitation of liability
To the fullest extent permitted by law, Medicus will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or the cost of substitute services, arising out of or related to these Terms or your use of Medicus, however caused and under any theory of liability, even if we were told such damages were possible.
To the fullest extent permitted by law, our total liability for all claims arising out of or related to these Terms or Medicus will not exceed the greater of the fees you paid to us in the twelve months before the event giving rise to the claim, or one hundred US dollars.
Some jurisdictions do not allow certain limitations; in those places our liability is limited to the smallest amount the law permits.
Indemnity
You will defend, indemnify, and hold harmless Medicus and its owners, employees, and contractors from any claim, loss, or expense, including reasonable legal fees, arising from your breach of these Terms, your violation of any law or third-party right, any clinical decision or medical record for which you are responsible, or any patient information you chose to enter into Medicus.
Feedback
If you send us suggestions or feedback about Medicus, we may use them without restriction or obligation to you. Feedback never includes patient information.
Governing law and disputes
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. If a dispute arises, you agree to contact us first at support@medicusarc.com and to work with us in good faith for thirty days to resolve it. Any dispute that is not resolved that way will be brought exclusively in the state or federal courts located in Texas, and you consent to their jurisdiction. Each party waives any right to a jury trial, and claims may be brought only on an individual basis, not as a class or representative action, to the extent the law allows.
Changes to these terms
We may update these Terms. The date at the top of this page shows when they last changed. For material changes we will notify your organisation's administrators by email at least fourteen days before they take effect. Continued use of Medicus after a change takes effect means you accept the updated Terms.
General
These Terms, together with the Privacy Policy and any order or quote you have accepted, are the entire agreement between you and Medicus about its subject matter and replace any earlier understanding. If an order conflicts with these Terms, the order controls for that conflict. If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our written consent; we may assign them to a successor of our business. Notices to you may be sent to the email address on your account. Medicus is intended for use in the United States, and you are responsible for complying with any export or import laws that apply to you.
